1. Introduction

These Terms & Conditions set out the agreement between ELMMS (“me”, “my”, “I”) and you (“the customer”) for the supply of goods/services. By placing an order, you agree to these terms.

2. Services / Goods Provided

I will provide the goods/services as described in my quotation, invoice, or agreed correspondence.

3. Prices & Payment

  • All prices are in GBP (£) and include/exclude VAT as stated.
  • Payment is due within 28 days after the date of the invoice.
  • Late payments may incur interest at the statutory rate under the Late Payment of Commercial Debts Act 1998.

4. Delivery / Completion

I will make reasonable efforts to deliver goods or complete services by the agreed date. Delays outside my control will be communicated promptly.

5. Cancellations & Refunds

  • You may cancel within seven days before agreed work commences unless work has already started or goods have been purchased or dispatched.
  • Refunds will be processed within 14 days following agreement where applicable.

6. Liability

I am not liable for any indirect or consequential loss. My total liability is limited to the value of the goods/services supplied.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7. Customer Responsibilities

You agree to provide accurate information and any necessary access or cooperation to allow me to fulfil my obligations.

8. Intellectual Property

  • All intellectual property rights in materials I create remain my property unless otherwise agreed in writing.
  • You are granted a non-exclusive, non-transferable licence to use such materials for their intended purpose only.

9. Data Protection (GDPR)

  • I will process your personal data in accordance with the UK GDPR and Data Protection Act 2018.
  • Your data will only be used for fulfilling our contract, legal compliance, or with your consent.

10. Force Majeure

I am not liable for failure to perform my obligations due to events beyond my reasonable control, including but not limited to natural disasters, strikes, or supply chain disruptions.

  • If a resolution cannot be reached, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
